Website and service terms

Terms and Conditions

These terms govern use of the VanguardTech website and provide the general framework for quotations and technology services. A signed quotation, proposal, service agreement or SLA may add to or override these general terms for a specific engagement.

1. Business and acceptance

The website is operated by VanguardTech (Pty) Ltd in South Africa. By using the website, submitting an enquiry, accepting a quotation, paying an invoice or instructing us to begin work, you agree to the terms that apply to that interaction. Contact: info@vanguardtech.co.za.

2. Services

Our services include custom desktop and web applications, Progressive Web Apps (PWA), VB.NET and C# development, ASP.NET and ASP.NET Core solutions, SQL Server design and optimisation, dashboards and reports, REST APIs and integrations, professional and WordPress websites, eCommerce, managed hosting, domains, SSL, backups, business email, Website Care, Software Care, VPS and server configuration, remote management and disaster recovery. Availability and exact deliverables depend on the accepted scope.

3. Quotations and pricing

Custom software, websites, Progressive Web Apps, integrations, database projects, migrations, domains, managed hosting, VPS, cloud and infrastructure work are quote based unless a written quotation, invoice or service agreement states otherwise. Website Care and Software Care may be offered at published standard monthly prices. Prices are stated in South African rand and may change prospectively. The accepted quotation, invoice or service agreement is the binding price for that transaction, subject to approved changes, additional usage, excess support, third-party charges and price changes identified in the agreement.

Website Care Essential and Business include monthly backups. Website Care Enterprise includes daily backups, advanced security monitoring, performance optimisation, priority support and proactive website monitoring.

Additional approved Software Care support is billed at R1,250 per hour. Published prices exclude new feature development, major enhancements, hosting, server or infrastructure support, third-party licensing, after-hours support and emergency call-outs unless otherwise agreed in writing.

5. Project scope and changes

Deliverables, assumptions, exclusions, milestones and acceptance criteria will be described in the quotation or proposal. Any request outside the agreed scope may affect cost and delivery time and may require written approval. Estimates depend on timely client decisions, content, access, testing and feedback.

6. Client responsibilities

The client must provide accurate requirements, lawful content and data, timely feedback, authorised access, suitable test users and any licences or third party accounts allocated to the client. The client must maintain secure passwords, control its users, review deliverables and keep its own independent copies of important business data unless a backup service is expressly included.

7. Payment and suspension

Invoices are payable according to the due date and payment terms shown on the invoice or accepted quotation. Recurring services are billed in advance unless agreed otherwise. We may pause project work or suspend non-critical recurring services after reasonable notice where an undisputed amount remains overdue. Domain expiry, third party suspension or data loss caused by non-payment may not always be reversible.

8. Domains, hosting and email

Domain availability is not guaranteed until registration is confirmed. Registrations, renewals and transfers remain subject to registry and registrar rules and are quoted according to the domain, provider and required management scope. Hosting, email, SSL, backup and migration services are also quoted according to the website, application, storage, traffic, mailbox, security, recovery and support requirements. Hosting resources are subject to the accepted plan and fair, lawful use. Prohibited use includes spam, malware, unlawful content, credential theft, attacks, unauthorised scanning and activity that threatens shared infrastructure. Email deliverability cannot be guaranteed because it depends on recipient systems, reputation, content and third-party filtering.

9. Maintenance and support

Website Care and Software Care cover only the inclusions, monthly allowances and response targets stated in the selected plan, quotation or SLA. Support hours are measured against time spent assessing, investigating, communicating, correcting, testing and deploying agreed work.

Website Care Essential includes CMS and plugin updates, security monitoring, bug fixes, uptime alerts, temporary file cleanup, monthly backups, up to 2 hours of standard maintenance and 30 minutes of emergency after-hours support. Website Care Business includes the same core coverage with up to 4 hours of standard maintenance and 60 minutes of emergency after-hours support. Website Care Enterprise includes CMS and plugin updates, advanced security monitoring, performance optimisation, priority support, daily backups, proactive website monitoring, up to 8 hours of maintenance and 2 hours of emergency after-hours support.

Software Care Essential includes up to 4 support hours per month and response within 1 business day. Software Care Business includes up to 8 support hours per month and same-business-day response during business hours. Software Care Enterprise includes up to 20 support hours per month, software health reviews, maintenance planning and priority response within 2 business hours during business hours.

A response target means the time to acknowledge and begin assessing the issue, not a guarantee of final resolution within the same period. Resolution may depend on complexity, client access, third-party systems, data quality, hosting, infrastructure and the availability of a safe deployment path.

New feature development, major enhancements, hosting, server or infrastructure support, third-party software licensing, after-hours support and emergency call-outs are excluded from Software Care unless otherwise agreed in writing. Major redesigns, extensive content changes, recovery from an existing compromise and work outside the selected Website Care allowance may be quoted separately.

Unused monthly hours do not automatically carry forward unless the applicable quotation or SLA expressly states otherwise. Additional work must be approved before it is performed and will be billed at the agreed rate.

10. Intellectual property

Each party retains ownership of material, tools, code, templates, data and know-how it owned before the project. Ownership or licensing of new deliverables will follow the accepted quotation or agreement and is subject to full payment. VanguardTech may reuse general skills, methods, non-client-specific utilities and know-how. Third party and open-source components remain subject to their own licences.

11. Warranties and limitation

We will perform services with reasonable care and skill but do not promise that every system will be uninterrupted, error free or compatible with every future third party change. To the extent permitted by law, VanguardTech is not liable for indirect or consequential loss, lost profit, lost opportunity or loss caused by client systems, third party platforms, internet failures, unauthorised access outside our reasonable control or use contrary to documentation. Any specific liability cap in an accepted agreement will apply.

12. Confidentiality and data protection

Each party should protect confidential information received from the other and use it only for the engagement. Personal information will be handled according to our Privacy Policy, POPIA Notice, applicable law and any signed data-processing terms.

13. Cancellation and termination

Project cancellation, notice periods, refunds, handover and termination charges are governed by the accepted quotation or agreement. Recurring third party costs already incurred, domain fees, licences and completed work are generally non-refundable. On termination, access and data export will be handled according to the service, payment status, security requirements and agreed retention period.

14. Website content and external links

Website content is general information and is not a binding technical recommendation or guarantee. You may not copy, scrape, disrupt, reverse engineer or misuse the website. External links are provided for convenience and do not make VanguardTech responsible for third party content or services.

15. Governing law and updates

These terms are governed by the laws of South Africa. The parties should first try to resolve a dispute in good faith. We may update website terms prospectively; the terms accepted for an existing project remain subject to its specific agreement.
